Head of Legal, Regulatory and Compliance Role Profile

General Purpose of Role

This role will support International School Partnership (ISP)’s operations in India by providing legal, regulatory and compliance support to regional and school specific management and service teams.

The role will be a direct report of the Regional Managing Director (India) and a will have a functional reporting line to the Regional Head of Legal and Governance (Southeast Asia and India).   


Key Duties and Responsibilities

The key duties and responsibilities generally reflect the expectations of the role but are not intended to be all-inclusive.

To work closely with the respective stakeholders to support day-to-day operational legal, regulatory and compliance needs of the organisation and the corporate secretarial portfolio of the organisation’s legal entities which includes the following:

Legal and compliance

  • Provide legal advice and support on a wide range of legal issues including but not limited to corporate matters, procurement, safety and insurance
  • Draft, review and negotiate simple and complex contracts, and support the end-to-end process of contract execution and management
  • To anticipate and manage legal risks connected with or resulting from the business
  • Draft, maintain and update contract templates
  • Coordinate the formulation, implementation, and/or amendment of internal regulations and policies
  • Ensure internal stakeholders and business compliance with relevant policies and applicable local laws and regulations
  • Liaise with and manage joint venture partners and ensure compliance with agreed contractual joint venture terms
  • Support engagement and maintenance of external counsel and company secretary
  • Coordinate with external counsels and company secretary on all legal and corporate secretarial matters including statutory filings
  • Track costs and fees incurred by external counsel and company secretary and provide regular information for accrual, forecast and budgeting purposes
  • Maintain internal corporate secretarial records, information and database for the relevant legal entities
  • Represent the department as required in liaison with relevant stakeholders

 

Regulatory

  • Provide advice and support on a wide range of regulatory related issues including but not limited to applying or renewing relevant licences, permits and registrations
  • Liaise with regulatory authorities on a wide range of issues including prepare and collate relevant documents to complete any application or registration process, and attend to any formal complaints lodged with the relevant authorities
  • Establish and maintain regulatory database 

Miscellaneous

  • Monitor legal and regulatory developments and report on new laws, government regulations and enforcement trends that may impact ISP’s business
  • Assist as required in the organisation’s expansion activities including acquisitions and joint ventures
  • Conduct internal training for internal stakeholders to create and maintain awareness of business employees for compliance with relevant laws and regulations
  • Support as required special initiatives and projects from time to time and other administrative needs and duties
  • Other duties as assigned

Qualifications, Experience and Skills

  • A Bachelor’s degree in Law with strong academic credentials
  • Solid knowledge of general Indian corporate and commercial laws. Familiarity with specific laws and issues on the K-12 sector would be an advantage
  • Have a minimum of 7 years experience as a lawyer in a top tier national or international law firm. Experience working in multi national or K-12 education companies would be an advantage
  • Strong written and oral communication skills in both Hindi and English
  • Positive, proactive, passionate, personable, results orientated, ambitious professional, who is keen to progress within a global organisation
  • Demonstrated exactness in attention to detail with the ability to multi-task and with strong follow-up skills
  • Ability to prioritize effectively and adapt based on changing priorities
  • Solid reasoning, critical thinking and problem solving abilities
  • Able to work autonomously with minimal supervision and within a team to foster a positive work environment
  • Ability to adapt to and understand foreign cultures, practices and sensitivities
  • Able to communicate effectively in a multi-cultural environment
